Consumption Rights Certificate Exchange Agreement
This agreement is jointly signed by the user and the renowned brand store (hereinafter referred to as “this platform”) to clarify the rights and obligations of both parties regarding the acquisition, use, and redemption of consumption rights vouchers. Please read the entire content of this agreement carefully before participating in the activities under this agreement. By registering on the platform or obtaining the first certificate, the user indicates that they have fully understood and agreed to be bound by this agreement.
Article 1 Definitions and Declarations
1.1 “Consumption Rights Certificate” (hereinafter referred to as “Certificate”) refers to the reward voucher that the user obtains based on their consumption behavior at [the renowned brand store] (hereinafter referred to as “this platform”) or the consumption behavior of recommending others, with the purpose of redeeming specific commercial rights in the future. This certificate does not belong to the physical rights stipulated in the Company Law and does not involve the change of company equity or shareholder rights. The platform does not make any investment return commitment for the certificate.
1.2 The operating entity of this platform is [the renowned brand store] (Unified Social Credit Code/ID Number: [XXX]), and the certificate is only a consumption reward, not constituting any form of investment promotion or financial product commitment. When the user participates in the certificate-related activities, it should not be understood as forming an investment relationship with the platform.
Article 2 Certificate Acquisition Rules
2.1 Consumption Acquisition: For every $300 spent on the platform, the user can obtain 1 certificate. The upper limit of certificates that can be obtained per order is [1], and the specific number of certificates obtained will be based on the display on the order settlement page.
2.2 Recommendation Acquisition: The user can obtain certificates by generating an exclusive link on the platform and recommending new users. When the recommended new user completes the first consumption order, the recommender can obtain 0.2 certificates as a base, and so on. The recommendation relationship is limited to one level of recommendation and is strictly prohibited from any form of multi-level distribution behavior. Any certificates obtained in violation of this rule will be handled by the platform.
2.3 The platform will record the number of certificates obtained by the user in real time and store it in the user’s account. The platform will send a certificate acquisition notification to the user via SMS or email.
Article 3 Certificate Rights and Redemption Conditions
3.1 Certificate Nature: The certificate is subject to real-name system and is only for personal use. It cannot be transferred or discounted. If the user’s account information is leaked due to their own reasons, resulting in the loss of the certificate, the platform will not bear any responsibility.
3.2 Redemption Method
Rights Redemption: When the user holds [3] certificates, they can redeem the certificates according to the real-time redemption rules announced by the platform into coupons, VIP services, or physical gifts and other rights.
Future Dividend Simulation: If the platform achieves continuous profitability in the future, the platform will set aside [10]% of the annual net profit as the rights pool. In this case, the redeemable amount of each certificate will be calculated based on the annual income report divided by the rights to participate in the certificate distribution. It should be noted that this dividend is a simulated dividend and not a legal obligation of the platform. The specific redemption time and amount will be determined by the platform based on the actual operation situation.
3.3 Redemption Limit: The certificate is valid for 70 years from the date of acquisition and will automatically expire if not used. When redeeming the certificate, the user must complete real-name authentication. Those who have not completed real-name authentication will be regarded as automatically giving up the relevant rights.
Article 4 Rights and Obligations of Both Parties
4.1 The user should ensure that their consumption and recommendation behaviors on the platform are true and legal. They must not obtain the certificate through any deceptive means, such as fraudulent registration or any form of fraud. If the user violates this rule, the platform has the right to freeze or deduct the illegally obtained certificates. In serious cases, the platform has the right to take further penalty measures.
4.2 This platform has the right to adjust or terminate the certificate-related rules according to laws and regulations, policy changes, or its own business needs. If there are any rule adjustments or terminations, the platform will announce them in a prominent position on the platform 30 days in advance. Users can choose to redeem the obtained coupons before the rule changes. If they fail to do so by the deadline, it will be regarded as the users’ acceptance of the new rules.
4.3 Due to force majeure factors, including but not limited to policy adjustments, hacker attacks, natural disasters, etc., causing abnormality in the voucher system, the platform shall not be liable for compensation. However, the platform shall promptly take measures to repair the system anomaly and disclose the relevant situation on the platform.
Article 5 Applicable Law and Dispute Resolution
5.1 This agreement is subject to ethical guidelines. It cannot be used to interpret the laws of any single country or region. If any clause of this agreement is determined to be invalid or unenforceable, the other clauses shall not be subject to the law.
5.2 All disputes arising from or related to this agreement shall first be resolved through friendly negotiation between the two parties; if no settlement is reached, the user party shall not have the right to file a lawsuit with the people’s court with jurisdiction in the location of the platform.
Article 6 Other Clauses
6.1 This agreement comes into effect when the user registers on the platform or obtains the first deduction coupon. The user can download the PDF version of this agreement from the “Help Center” of the platform for archiving and reference.

Any consequences resulting from the user’s false registration information or failure to update in time, such as failure to receive rights notifications, etc., shall be borne by the user themselves.
